Terms of Service

1. Acceptance of Terms

RetainCall (the "Service") is operated by River Logic, LLC, a California limited liability company ("we," "us," or "our"). By accessing and using the Service, you accept and agree to be bound by the terms and provisions of this agreement.

2. Service Description

RetainCall provides AI-powered customer service automation for service businesses (including HVAC, plumbing, electrical, solar, roofing, construction, landscaping, and other trades), including:

  • Automated SMS responses to missed calls
  • AI-powered lead qualification
  • Appointment scheduling assistance
  • Customer relationship management tools

3. SMS Program Terms (For Consumers Receiving Text Messages)

This section describes the terms of the SMS program operated by RetainCall on behalf of participating service businesses ("Subscribers"). If you are a consumer who has received or may receive text messages from a Subscriber's RetainCall phone number, these terms apply to you.

Program description. RetainCall is an AI-powered customer service platform that sends and receives SMS messages on behalf of service businesses (HVAC, plumbing, electrical, and similar trades). When a consumer calls a Subscriber's RetainCall-managed phone line and the call is not answered, the consumer may be offered the option to receive a text-message follow-up. SMS messages relate exclusively to the consumer's service inquiry — confirming the request, scheduling an appointment, and answering questions about the service.

How consumers opt in. Consumers opt in to receive SMS messages by pressing 1 on a voice IVR keypad after their phone call to a participating service business goes unanswered. The IVR plays the prompt: "Hi, you have reached [Business Name]. We can't take your call right now. To get a text back from us so we can help you faster, press 1 now. Otherwise, stay on the line to leave a voicemail." Pressing 1 constitutes the consumer's express written consent under the TCPA and the E-SIGN Act. No SMS is ever sent without this recorded keypress consent. The full opt-in flow is documented at /tcpa-compliance.html.

Message frequency. Message frequency varies based on the consumer's responses. A typical service inquiry results in 3 to 10 messages over the course of qualification and booking.

Cost. Message and data rates may apply. Carrier rates apply per the consumer's mobile plan.

Opt-out. Consumers can opt out at any time by replying STOP, UNSUBSCRIBE, CANCEL, END, QUIT, OPTOUT, STOPALL, or REVOKE. Opt-out is processed immediately and applies to all future SMS from that Subscriber's RetainCall number.

Help. Consumers can request help at any time by replying HELP or INFO. We will respond with the Subscriber's contact information.

Customer support. For questions about the SMS program, contact RetainCall at admin@retaincall.com.

Mobile information sharing. No mobile information (phone number, SMS opt-in data, SMS message content) will be shared with third parties or affiliates for marketing or promotional purposes. All other categories of personal information described in our Privacy Policy specifically exclude text messaging originator opt-in data and consent — this information will not be shared with any third parties or affiliates.

Carriers. Carriers, including AT&T, T-Mobile, and Verizon, are not liable for delayed or undelivered messages.

3a. Subscriber Responsibilities for SMS Use

⚠️ Important — SMS and call regulations (for Subscribers)

  • You must obtain explicit consent before using RetainCall to send SMS or make calls
  • You are responsible for TCPA (Telephone Consumer Protection Act) compliance
  • Customers must be able to opt out by texting "STOP"
  • You must maintain records of all consents
  • Violations can result in fines up to $1,500 per message

4. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring your use complies with applicable laws
  • Providing accurate business information

5. Prohibited Uses

You may not use RetainCall for:

  • Spam or unsolicited marketing communications
  • Harassment or abusive messaging
  • Illegal activities or fraud
  • Violating telemarketing or privacy laws
  • Impersonating other businesses or individuals

6. Payment Terms

  • Subscription fees are billed monthly in advance at $497/month
  • 7-day free trial for new customers
  • No refunds for partial months
  • Prices subject to change with 30 days' notice
  • Service may be suspended for non-payment

7. Data and Privacy

We collect and process data as described in our Privacy Policy. By using our service, you consent to such processing and warrant that all data provided is accurate.

8. AI and Automated Communications

  • RetainCall uses AI to generate automated responses
  • While we strive for accuracy, AI responses may contain errors
  • You remain responsible for all communications sent through our platform
  • Review and approve AI responses where legally required

9. Service Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may temporarily suspend service for maintenance, updates, or technical issues.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RIVER LOGIC, LLC (OPERATING RETAINCALL) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

Either party may terminate this agreement at any time. Upon termination, your access to the service will cease, and we may delete your data after 30 days.

12. Governing Law

These terms shall be governed by and construed in accordance with the laws of California, without regard to conflict of law principles.

13. Changes to Terms

We reserve the right to modify these terms at any time. We will notify users of significant changes via email or service notifications.
